CONDITIONS
& PROCEDURES REGARDING THE SUBMISSION OF
IDEAS TO SPECIALTY
AUTO PARTS U.S.A., INC.
CONDITIONS
FOR SUBMISSION - LEGAL AGREEMENT
|
|
|
|
|
|
The
following conditions must be read, understood and agreed to, as
they represent legally binding conditions for all submitted ideas: |
|
|
|
|
|
|
(1.)
The Company will consider ideas only via this Submission of
Ideas process and solely at the request of the submitter. |
|
|
|
(2.)
By Submitting an idea to the Company, you are not
relinquishing any rights under a patent you now have or may
obtain in the future. |
|
|
|
(3.)
Although it is the policy of the Company to recognize valuable
contributions of persons outside its organization,
contributions which are acted upon by the Company, it shall
not be obligated to pay any compensation whatsoever for
submissions except as may be determined in a subsequent
written contract. |
|
|
|
(4.)
The Company shall have the right to make and retain, for
purposes of record, copies of any descriptions, drawings,
models or any other technical information submitted now or in
the future in connection with its consideration of an idea. |
|
|
|
|
(5.)
The Company can only consider an idea if all owners of the
idea submit it. If anyone, other than the submitter,
claims rights to the idea, each person must be
recognized. If your current or former employer has any
rights to your idea, we will need to have a written release
from that employer prior to any evaluation. If you,
alone, are the originator of the idea, we must be assured of
this. |

(6.)
If you are not at least 18 years old, a parent or guardian
must also sign the Non-Confidential Idea Submission Agreement. |
|
|
|
(7.)
The Company is accepting your idea in a non-confidential
manner, and you should not include anything you deem
proprietary or confidential. |
|
|
|
(8.)
Employees of the Company do not have the authorization to
accept any information on a confidential basis. |
|
|
|
(9.)
Once we have evaluated your idea, we will inform you, in
writing, whether or not we are interested in further
discussion. We are not obligated to inform of anything
we previously knew or independently discovered since you
submitted your idea. |

sure to retain a copy for your files of all forms and samples
submitted. The Company will not inform you of receipt of
your idea, nor can we guarantee that we received it. There,
please submit your forms and samples in a manner that you can
track. |
