Idea Consideration Process


CONDITIONS & PROCEDURES REGARDING THE SUBMISSION OF
IDEAS TO SPECIALTY AUTO PARTS U.S.A., INC.

STATEMENT OF POLICY & AGREEMENT

 

Stage 1 - IDEA ASSESSMENT

Does your idea fit within the Company's strategic focus?  We consider those ideas that fall within our core business, such as;

- Aftermarket performance (racing) parts.
- Aftermarket dress-up parts.
- General auto parts.
- Engine builders' tools.
- OEM automotive parts.
- Other products sold in aftermarket parts sales channels.
- Other products manufactured by us as a subcontractor to you, for you to market as you see fit.

In reviewing submissions, the Company frequently finds that it has previously used or considered some of the ideas, either from previous submissions by others or as a result of its own research activities.

For the following list of activities, the Company relies on its own scientists, marketing personnel, engineers, and analysts.  Therefore, this "submission of idea" process is not appropriate for ideas that involve:

- Sales promotions or marketing approaches.
- New uses for current commercialized Specialty Auto Parts products.
- New names for current commercialized Specialty Auto Parts products.
- Quality issues.

 

Stage 2 - INTELLECTUAL PROPERTY PROTECTION
Does your idea have an issued or pending patent?

IF YES:
The Company prefers to consider those ideas or inventions that are protected by an issued/pending patent or copyright.  If your idea is protected, you are required only to complete the Non-Confidential Idea Submission Agreement portion of the Submission of Ideas form.

IF NO:
If you wish to submit an idea that does not have an issued or pending patent, you must complete the entire Non-Confidential Idea Submission Agreement form, as well as the Supplemental Idea Information form.  All disclosures must be in writing and signed, and the forms should be accompanied by drawings, sketches, photographs or the like, which will make the idea submitted clearly understandable.

This Agreement is non-confidential; therefore do not include any information that you deem proprietary or confidential.  However, there must be enough information about the idea to proceed with an initial evaluation and consideration.  The Company will give each disclosure such consideration, as it, in its own judgment, deems appropriate.

 

Stage 3 - PROCESS TO REVIEW AND RESPOND

What timing constraints and internal logistics are applied to the Company's review of idea submissions - and how do we advise you of our interest?  The Company will not conduct any evaluations or negotiations prior to receiving a signed Non-Confidential Idea Submission Agreement and Supplemental Idea Information form, if applicable.  In general, we do not accept or create individualized secrecy or confidential agreements for the submission of ideas.

--> From the date received into the Company, the standard time frame to evaluate ideas is approximately 4 weeks.  If additional research is required, the evaluation period may be longer.

--> During the evaluation period, you may submit your idea to other companies without informing us.

--> If the Company is interested in your idea, we may choose to enter into a formal written agreement with you.
